Rentomojo IPO: ₹1,256 Crore IPO Growth Story or Risk?
Rentomojo’s ₹1,256 crore IPO brings strong growth and anchor investor interest, but its OFS-heavy structure and high valuation raise key questions for investors

Rentomojo is heading towards the public markets with a story that fits the changing face of urban India: rising mobility, changing consumer preferences, subscriptions and improving profitability.

The company operates a furniture and appliance rental platform for consumers who prefer flexibility over ownership, particularly while moving between cities for jobs, education or other opportunities.

But there is one number investors should not overlook.

Rentomojo is looking to raise ₹1,255.57 crore, but only ₹150 crore is coming through a fresh issue. The remaining ₹1,105.57 crore is an Offer for Sale (OFS), through which existing shareholders will sell their holdings.

So, the bigger question is: Is this mainly a growth opportunity for Rentomojo — or also a major exit opportunity for early investors?

The Business Story Looks Attractive

Rentomojo allows customers to rent furniture and appliances instead of making large upfront purchases. Its model benefits from India's growing urbanisation, job mobility and changing attitudes towards ownership.

Founder Geetansh Bamania has highlighted the country's increasingly mobile workforce as a key demand driver.

The company has also reported 55% subscriber market share, 40% revenue growth and positive cash flows, strengthening its growth narrative.

But public-market investors will eventually want more than subscriber growth. Can Rentomojo maintain growth while improving margins and generating sustainable cash?

Where Is the IPO Money Going?

The ₹150-crore fresh issue is planned towards repayment or prepayment of borrowings and accrued interest, along with lease rentals or licence fees related to warehouses and experience stores.

Reducing financial obligations can strengthen the balance sheet. However, the structure also tells investors something important:

This is not primarily a large expansion-focused fundraise.

Most of the money raised will go to existing shareholders through the OFS.

According to reported details, Accel could sell shares worth up to ₹317 crore, while Chiratae Ventures could sell up to ₹197 crore at the upper end of the price band.

An OFS is not automatically a negative signal. Venture capital investors eventually need liquidity. But new investors should understand that they are also buying shares from investors monetising their holdings.

Valuation Is the Bigger Question

Rentomojo's IPO price band is ₹384–₹404, with the company reportedly seeking a valuation of around ₹4,246 crore at the upper end.

That valuation is reportedly nearly five times its 2024 private-market valuation, while the IPO is priced at around 40 times FY26 earnings.

That's where the story becomes more demanding.

Investors are not simply paying for Rentomojo's current business. They are paying for the growth they expect in the future.

To justify that valuation, the company will need continued subscriber growth, stronger profitability, efficient asset utilisation and healthy cash generation.

The Rental Opportunity Is Real — But So Are the Risks

Rentomojo operates in a sector supported by genuine structural trends. But rental businesses also face challenges involving inventory, maintenance, logistics, asset utilisation and customer acquisition costs.

Growing subscribers is important.

Growing profitably is more important.

After listing, investors should closely watch revenue growth, margins, cash generation, debt and lease obligations, asset utilisation and customer acquisition costs.

BizGossips Take

Rentomojo has a business model that fits India's increasingly flexible urban lifestyle. The long-term opportunity is real.

But the IPO structure and valuation deserve serious attention.

₹1,255.57 crore sounds like a huge fundraise, but only ₹150 crore is fresh capital. More than ₹1,100 crore is an OFS.

That doesn't make the IPO bad. It simply changes the investment question.

Are investors buying Rentomojo's future — or paying a premium for a future that still has to be delivered?

The rental opportunity may be real. The growth story may be real.

But at around 40 times FY26 earnings, the execution needs to be real too.
